Since it's been asked a thousand times - here's the description from FFinsider:

it continues, go to Kingdom Hearts / KH - Phantom Guide

Or instead of reading all that, cast the strongest Stop spell you have (either just plain old Stop, but preferably Stopra) on the clock often. Otherwise, one by one your allies, and then Sora, will be out of the fight for good. Very similar to the spell Doom or Death Sentence from Final Fantasy, if you're familiar with that. You can tell which character is the victim by the numbers appearing over their heads.

Aside from that, if the orb on the Phantom is red, hit it with your strongest fire spell. If it is blue, use your strongest blizzard spell. If it is yellow, cast thunder, and when it turns white, use your keyblade.

If you use Goofy, have MP Gift equipped. Keep Ethers in your item slots (unlike the strategy listed above, I never bothered giving them to my allies, because all they ever did was waste them). Equip all of those MP Rage, Second Chance, MP Haste types of abilities.

I think the recommended level is at least 65, but I can't remember for sure what level I was when I defeated him. Though I do remember thinking that he was the easiest of all four of the optional bosses in the game. If you keep on getting your butt kicked, you might just want to level up some more.

It doesn't matter what rank of Stop spell you have. Once you cast it on the clock, you have a minute until it starts up again.

The order is always Peter Pan, Donald/Goofy, Sora.

I can beat him at 60. The easiest of the four bosses (Phantom, Kurt Ziza, Ice Titan, Sephiroth) is either Phantom or the Ice Titan. Probably Phantom since Ice Titan starts dishing out stronger attacks the more he's hurt.

Hmm, I didn't know that. But you'd think that the stronger spell would last longer. Why even bother upgrading it? o_O

Doesn't really matter which way they go, does it? If you don't stop the clock, you'll be shorthanded until you die. *shrugs*

So you can get the Dream Rod for Donald. It is his second strongest weapon, behind Save the Queen.
